Terms of Sale and Delivery

We want it to be clear and straightforward to work with VARSL. On this page, you can read the terms of sale and delivery that apply to our solutions, subscriptions, and services.

VARSL provides solutions to business customers, and these terms are intended to ensure clear frameworks for the collaboration, delivery, and use of our platform.

1. General

These terms of sale and delivery apply to all agreements between VARSL ApS and business customers regarding the delivery of digital solutions, software access, webshop scanning, CLP data, safety data sheets, widget display, API integration, support, and related services.
VARSL provides services exclusively to business customers. By ordering or using VARSL’s solutions, the customer confirms that the agreement is entered into as part of the customer’s business activities.
Any special terms in an offer, order confirmation, data processing agreement, or other written agreement between the parties shall take precedence over these terms.

2. About VARSL’s services

VARSL helps companies find, collect, display, and maintain CLP information and safety data sheets for products where safety information may be relevant.
VARSL’s services may include, among other things:

  • Free webshop scan
  • VARSL Self-Service
  • VARSL Full Service
  • Customer portal
  • Widget for display on product pages
  • API and webshop integrations
  • Shop modules
  • Automatic updates of CLP data and safety data sheets
  • Support and advisory assistance in connection with using the solution


The specific services, features, prices, and any limitations are set out in the agreement, the offer, the order confirmation, or the selected subscription plan.

3. Free webshop scan

VARSL offers a free, non-binding webshop scan, where we scan the customer’s webshop and display up to 20 identified products in VARSL’s customer portal.
The free webshop scan does not require a credit card, and the customer is not automatically enrolled in a subscription.
After the scan, the customer can choose whether the company wishes to proceed with VARSL Self-Service, VARSL Full Service, or another solution.
The free webshop scan is an initial screening and should not be regarded as a complete legal or chemical review of the entire webshop.

4. VARSL Self-Service

VARSL Self-Service allows the customer to create products in VARSL’s customer portal themselves.
The customer can typically create a product by:

  • uploading a safety data sheet
  • inserting a product link
  • entering or adding relevant product data


VARSL can then help extract, compile, and prepare relevant information for display on the customer’s webshop.
The customer is responsible for verifying that the displayed information matches the specific product, market, and use.

5. VARSL Full Service

With VARSL Full Service, VARSL assists with a more comprehensive review of the customer’s webshop.
The service may include, among other things, scanning the webshop, identifying relevant products, creating them in the customer portal, linking available safety data sheets, and preparing CLP information.
Depending on the agreement, the information can be displayed via a widget or transferred through API/integration.
Full Service is delivered based on the information available to VARSL, including product data on the customer’s webshop, supplier information, safety data sheets, manufacturer data, and other relevant data sources.

6. Widget, API, and integrations

VARSL can provide solutions where CLP information and safety data sheets are displayed on the customer’s webshop via a widget, shop module, or API integration.
The customer is responsible for ensuring that the webshop, themes, plugins, third-party systems, and technical configurations allow the desired implementation.
If the customer’s webshop, plugins, theme, API, hosting environment, or third-party systems are changed, this may affect VARSL’s solution. Any additional work resulting from such changes may be invoiced separately by agreement.

7. Automatic updates

If the customer has selected automatic updates, VARSL helps continuously monitor relevant changes in CLP data and safety data sheets where the information is available.
Automatic updates may include, among other things, checking newer safety data sheets, updated product data, or changed information from relevant sources.
VARSL cannot guarantee that all changes are detected immediately, or that all information is always available from suppliers, manufacturers, or public sources.

8. Customer responsibilities

The customer is responsible for the products the customer sells and for complying with applicable rules on product information, chemicals, CLP, safety data sheets, marketing, and sales in the markets where the customer operates.
The customer is responsible, among other things, for:

  • providing correct and up-to-date product information
  • verifying the information displayed on the webshop
  • ensuring that the products are marketed and sold lawfully
  • ensuring that safety data sheets and CLP information match the specific product
  • assessing which rules apply to the customer’s products and markets
  • informing VARSL of relevant changes in assortment, suppliers, or product data


VARSL’s solution is a tool to create an overview and make safety information easier to manage. VARSL does not assume the customer’s legal responsibility as a manufacturer, importer, distributor, retailer, or webshop.

9. Prices and payment

Prices are stated on VARSL’s website, in an offer, in the order confirmation, or in a separate agreement.
All prices are stated excluding VAT, unless expressly stated otherwise.
Subscriptions are generally invoiced monthly, quarterly, or annually in advance, depending on the agreed solution.
Setup fees, integration work, additional support, manual checks, customisations, and other separate services may be invoiced separately.
The payment term is 8 days from the invoice date, unless otherwise agreed in writing.
In the event of late payment, VARSL may charge interest and fees in accordance with applicable rules. VARSL may also suspend access to the solution if payment is not received after a reminder.

10. Subscription, commitment, and termination

Subscriptions run from the date stated in the order confirmation or the agreement.
Unless otherwise agreed, the subscription may be terminated with 30 days’ notice to the end of a subscription period.
Annual agreements, promotional offers, integration agreements, or special Full Service agreements may have a different commitment period if stated in the agreement.
Termination must be made in writing to VARSL.
Upon termination, the customer’s access to VARSL’s solution ends at the expiry of the subscription period, unless otherwise agreed.

11. Delivery and timelines

Delivery time depends on the selected solution, the customer’s webshop, the data basis, the number of products, and any integrations.
VARSL endeavours to deliver services within the agreed timeline, but delivery requires that the customer provides necessary information, access, approvals, and materials in due time.
Delays caused by the customer’s circumstances, third-party systems, lack of access, inadequate product data, or supplier conditions may postpone the delivery date.

12. Support

Support is included in active subscriptions, unless otherwise stated in the agreement.
VARSL support can be contacted on weekdays during normal business hours.
Support includes assistance with using VARSL’s solution, customer portal, widget, display, subscription, and general setup questions.
Support does not include legal advice, chemical product approval, general webshop operations, third-party plugins, hosting, custom development, or errors in the customer’s other systems, unless separately agreed.

13. Availability and operations

VARSL endeavours to ensure stable operations and high availability.
However, temporary downtime may occur due to maintenance, updates, technical errors, security measures, third-party providers, or circumstances beyond VARSL’s control.
Planned maintenance is, as far as possible, scheduled at times that cause the least disruption to customers.
VARSL is not responsible for downtime, errors, or losses caused by the customer’s webshop, hosting, internet connection, third-party systems, plugins, themes, APIs, or other external circumstances.

14. Data, documents, and customer materials

The customer retains ownership of the product data, safety data sheets, documents, and materials that the customer uploads or makes available to VARSL.
The customer grants VARSL the right to use the material to the extent necessary to deliver the agreed services.
The customer is responsible for ensuring that VARSL may use the material and that it does not infringe third-party rights.
VARSL may store relevant data and documents for as long as necessary to deliver the solution, fulfil the agreement, document the delivery, or comply with legal requirements.

15. Personal data and data processing

If VARSL processes personal data on behalf of the customer as part of delivering the service, the parties enter into a data processing agreement.
As a general rule, the customer is the data controller for the personal data the customer makes available to VARSL, while VARSL may be the data processor for the information processed on the customer’s behalf.
VARSL processes personal data only to the extent necessary to deliver the agreed services, administer the customer relationship, provide support, and fulfil legal obligations.

16. Rights

VARSL retains all rights to software, platform, code, methods, databases, design, documentation, APIs, technical solutions, know-how, and other intellectual property rights.
The customer receives a limited, non-exclusive, and non-transferable right to use VARSL’s solution during the term of the agreement and in accordance with the agreement.
The customer may not copy, resell, rent out, modify, decompile, reverse engineer, or otherwise attempt to derive source code, structure, or business logic from VARSL’s solution.

17. Confidentiality

The parties must treat confidential information about each other’s business, customers, prices, products, data, technology, and internal matters as confidential.
Confidential information may only be used to fulfil the agreement and may not be disclosed to unauthorised parties without written consent, unless disclosure is required by law or regulatory requirements.
The confidentiality obligation also applies after the agreement ends.

18. Limitation of liability

VARSL is liable under the general rules of Danish law, subject to the limitations set out in these terms.
VARSL is not liable for indirect losses, operating losses, loss of profit, loss of data, loss of revenue, losses resulting from fines, regulatory requirements, third-party claims, or other consequential losses, unless otherwise required by mandatory law.
VARSL’s total liability may not exceed the amount the customer has paid to VARSL for the affected service in the 12 months preceding the event giving rise to liability.
VARSL is not liable for errors or defects caused by:

  • incorrect or insufficient information from the customer
  • changes to the customer’s products, suppliers, or webshop
  • third-party systems or external data sources
  • lack of access to necessary information
  • the customer’s own use, setup, or modification of the solution
  • circumstances beyond VARSL’s reasonable control


VARSL provides tools and services that help the customer manage CLP information and safety data sheets. VARSL does not guarantee that the customer’s webshop, products, or documentation will at all times comply with all legal requirements.

19. Complaints

The customer must review delivered services, information, and configurations without undue delay.
Any errors or defects must be reported in writing to VARSL as soon as possible after the customer has discovered or should have discovered the issue.
In the event of a justified complaint, VARSL will, at its own discretion, attempt to remedy the error, provide a replacement delivery, grant a proportionate reduction, or otherwise reasonably rectify the matter.

20. Changes to the solution

VARSL may continuously update and improve its solutions, features, user interfaces, integrations, security measures, and technical configurations.
Changes that materially affect the customer’s use of the solution will be notified to a reasonable extent.
VARSL may change or phase out features as part of ordinary product development, security, legal requirements, technical considerations, or changes at third-party providers.

21. Changes to the terms

VARSL may amend these terms of sale and delivery with reasonable notice.
Material changes will be notified to active customers via email, the customer portal, or another relevant communication channel.
If the customer continues to use VARSL’s solutions after the changes take effect, the customer will be deemed to have accepted the updated terms.

22. Force majeure

VARSL is not liable for non-performance or delayed performance of the agreement if this is due to circumstances beyond VARSL’s reasonable control.
This may include, among other things, outages at third-party providers, cyberattacks, regulatory intervention, changes in legislation, strike, lockout, fire, war, pandemic, natural disasters, supply failures, internet outages, or other extraordinary circumstances.

23. Governing law and venue

The agreement is governed by Danish law.
Any dispute between the parties should, as far as possible, be resolved amicably.
If the dispute cannot be resolved amicably, it shall be decided by the Danish courts with VARSL’s home venue as the agreed venue, unless otherwise agreed in writing.
